Terms and Conditions
This Agreement (“Agreement”) is a legal contract between the Customer as an individual or an entity (the “Customer”) and by Huzi Developers (“huzidevelopers.com”) and will be effective when the Customer accepts this Agreement.
Huzi Developers reserves the right to change this Agreement at any time at its absolute discretion without prior notice to the Customer, and such changes will be made available on the Website. Such changes will be binding on the Customer, and it is the Customer’s obligation to ensure that they have read and agree to the most recent Agreement.
Estimates and Changes: All estimates are based on our understanding of your requirements. Any changes, including minor improvements, may incur additional costs. Ensure our understanding through a face-to-face meeting.
Acceptance of Quote: By accepting a quote verbally, via email, payment of initiation, or by signing, you agree to Huzi Developers’ terms and conditions.
Client Requirements: Ensure all requirements are included in quotes and proposals. Provide clear guidelines and specifics. Unclear details may lead to additional costs for changes later.
Complexity and Disclosure: Advise in advance about any task complexities. Discrepancies due to unclear requirements will not be borne by Huzi Developers.
Allocated Man-Hours: Each task has limited man-hours, including project management and business analysis. Minor changes may be included within these hours on a case-by-case basis.
Project Timeframe: Huzi Developers will make efforts to complete projects in the given timeframe. Reasonable delays are accepted if functionalities change.
Client Delays: Delays at the client’s end may delay the project and incur additional costs.
Bugs and Rework: Bugs reported during or shortly after development are not charged extra. Rework on completed tasks or design changes after approval will incur additional charges.
Modifications: Modifications during development or post-Go-Live approval will incur additional charges. Additional work beyond estimates is charged separately. Huzi Developers is not liable for delays caused by changes in the project brief.
Content Provision: Provide all content and materials within the first two weeks. Delays may result in project delays and additional charges.
Testing Browsers: Websites are tested on recent versions of IE, Firefox, Chrome, and Safari. Inform us if testing is required on other browsers.
Responsive Testing: Responsive web pages are tested on iPhone and iPads. Inform us if testing on other devices is needed.
Hosting Issues: If not hosted on a Huzi Developers server, additional man-hours due to server or network issues are not covered and may be charged separately.
Project Stalling: Stalling the project for over two calendar months incurs $99/week administration costs and may increase estimates. Notify us in advance if the project needs to be put on hold.
Software Codes: Huzi Developers’ software codes are copyrighted. Codes can be handed over at an additional cost after settling all invoices. Codes are for client use only and not for resale or duplication.
Proprietary CMS: Huzi Developers’ CMS is proprietary. Codes written are owned by Huzi Developers unless arranged otherwise. Clients are granted a license to use the software while paying for hosting. The CMS cannot be transferred to an external host.
Deployment Environment: The website/application is designed for web deployment via a commercial-grade web server. It may not perform well on a generic office network environment.
Third-Party Components: Third-party components (e.g., payment gateways, SSL certificates) are beyond our control. Costs for these are not included in quotes.
Open-Source Products: Huzi Developers take no responsibility for open-source products. Clients should update components regularly and take backups.
Third-Party Providers: Changes to third-party provider rules may affect our services and terms.
Unforeseen Circumstances: Unforeseen delays, particularly with third-party software integration, are acknowledged. Clients agree not to penalize us for genuine delays when efforts to adhere to the schedule are made.
Domain and Hosting Charges: Domain registration/renewal and hosting charges are not included in quotes unless specified. Quotes for these services can be provided separately.
Hosting Solutions: If clients arrange their own hosting, they must consult us to meet technology requirements. Full access with hosting support is needed for testing and deployment. Huzi Developers is not liable for hosting-related delays or errors.
Testing Environment: Websites/applications are built and tested on our servers. We do not provide access to test servers or websites. Transfers to third-party servers are done after full payment of invoices.
License Grant:
- Upon full payment of invoices, Huzi Developers grants a license to use the graphics, texts, and images of the website. This excludes intellectual property related to the production, including codes and database structures.
Communication:
- All correspondence is generally via email. Clients must keep us updated with their relevant email addresses.
Minimum Contract Period:
- All digital marketing/strategy packages are for a minimum period of 6 months. Post this period, clients can cancel anytime with a one-month email notice.
Billing and Payments:
- Packages are billed monthly and payable by the 1st of every month.
- Direct debit set-up is strongly recommended.
- An administrative fee of $25 will be charged for late payments or declined credit card charges.
- No refunds are provided for any fees related to the digital marketing/strategy package.
Package Design and Man-Hours:
- Packages are tailored to meet the digital marketing/strategy requirements of clients.
- Specific man-hours are allocated each month, and unused hours do not roll over to the next month.
- No third-party software or marketing expenses are included.
Fair Use Policy:
- While unused man-hours do not formally roll over, Huzi Developers exercises flexibility in good faith, understanding that client needs may vary month to month.
- Extra hours used may be billed separately.
- Urgent tasks will be charged separately.
Support Requests:
- Support requests should be sent via email to admin@huzidevelopers.com.
Termination:
- Clients can cancel the package after the initial 6-month period with one month’s email notice.
- Huzi Developers reserves the right to terminate the agreement at any time with written notice to the client.
Minimum Contract Period:
- All maintenance packages are for a minimum period of 12 months.
Billing and Payments:
- Maintenance packages are billed annually but paid monthly via direct debit on the 1st of every month.
- Monthly maintenance package fees require credit card payment only.
- Fees will be charged to the client’s credit card on file on the 1st day of every month.
- An administrative fee of $25 will be charged for late payments or declined credit card charges.
- More than three missed payments in a year may lead to termination of the package, with the client required to pay the remaining amount immediately.
- No refunds are provided for any fees related to the monthly maintenance package.
Inclusions and Usage:
- Packages may include 12 months of basic website hosting, email hosting, and DNS hosting.
- Designed for website maintenance tasks only, not for full redesigns or major functionality add-ons.
- Does not include Digital Strategy, Business Analysis, Solution Architect, SEO, or Digital Marketing work.
- Work-hours are tracked in 15-minute blocks.
- Monthly support includes a full website backup, CMS and plugin updates, and any necessary website fixes. Remaining hours can be used for website changes.
- Any additional work hours will require client approval.
Fair Use Policy:
- Although unused time does not formally roll over, flexibility is provided in good faith to accommodate changing client needs.
- Extra hours used will be billed separately at $70/hour.
- Urgent tasks will be charged separately.
Support Requests:
- Support requests should be sent via email to admin@huzidevelopers.com.
Auto Renewal:
- The package is auto-renewed every year on its anniversary date.
Termination:
- To cancel auto-annual renewal, inform us in writing (email) at least one month prior to the renewal date.
- For ongoing terms, if the client decides to terminate an ongoing maintenance package, the balance amount for the remaining months must be paid.
- Huzi Developers reserves the right to terminate annual maintenance at any time with written notice to the client.
Project Initiation:
- Upon quote acceptance/signoff, the initiation payment is processed to start the project.
- A Scoping Workshop may be held to discuss requirements in detail.
Design Phase:
- After receiving brand details (logo, images, branding materials), a mock-up will be ready for review within 5 to 10 working days.
- Review the design and suggest improvements. Typically, up to 3 to 5 design modifications can be made within the given estimates. Refer to your allocated design and development hours for details.
HTML Development:
- Once the design is finalized and approved, we proceed with HTML development.
- At this stage, we may need 3 to 5 banner texts and/or images for rotation.
Content Management System (CMS) Setup:
- If CMS is included in your project, we will set up your website on your selected CMS after HTML development.
- Provide all content and copy before the development phase.
Content Transfer:
- Depending on the allocated time and resources, we will transfer as much content as possible from the old website to the new one.
- Remaining content can be transferred via the CMS by your designated staff, with instructions provided by us.
Client Review:
- Once the site is ready from our end, it is handed over to you for further review, testing, and content updates as necessary.
Go-Live Preparation:
- Provide a Go-Live date for us to make the new website live.
- The website can be made live within 3 to 5 working days of Go-Live approval, provided all accounts are clear. Full payment is required prior to transferring the website to any external servers.
Project Timeframe:
- Limited man-hours are allocated to the project.
- Estimates for projects under $5000 are based on an 8 to 12 working week completion timeline, depending on project size. Delays may increase project management costs.
- If the project is expected to exceed this timeframe, inform us before starting.
Efficient Communication:
- Avoid unnecessary delays by providing all necessary details at the start of the project.
- Regular updates will be provided via emails and/or telephone calls as needed. Contact us anytime for a project status update and keep us informed of any changes in contact details.
Post-Go-Live Responsibility:
- Once live on the client’s domain, it is the client’s responsibility to take regular full backups and update all components and third-party software.
Flexibility and Adaptability:
- We are flexible and adaptable, approaching all requests with a ‘can do’ attitude. Discuss any required changes with us.

Currency and Tax:
- All prices are quoted in US dollars and unless specified otherwise.
Invoice Processing:
- All invoices must be processed according to the schedule via your preferred method of payment.
Milestone Payments:
- Milestone payments must be made within 5 working days of each milestone/schedule unless mutually agreed otherwise.
- Final payment must be made prior to the website/application/project going live.
Payment Acceptance:
- Receipt of payment is deemed as acceptance of the quote, milestone, delivery, project, and terms & conditions.
Refunds and Cancellations:
- Huzi Developers reserves the right to negotiate and refund an appropriate portion of the amount paid by the customer towards the requested service.
- If the order is canceled after making the payment but before work commences, 75% of the payment will be refunded.
- If the order is canceled after work has commenced, a maximum refund or charge of 50% of the invoice applies.
- No refunds or adjustments will be made if cancellation occurs after more than 50% of the work has been completed.
- All cancellations must be received in writing via regular mail, email, or fax. Telephone requests for cancellations will not be accepted.
Payments for Minor or Once-Off Works:
- Payments for minor or once-off works must be made either in advance or as per the terms mentioned in the invoice/proposal.
- Any changes to the terms must be informed in writing (emails accepted) within two working days of receipt.
Late Fees and Charges:
- All outstanding invoices will incur a late payment fee of 10% of the pending amount and an administration fee of $5.50 per month from the due date.
- An invoice is deemed outstanding if payment is still due 14 days after the expiry of the due date.
- The client has a further 7 days after the late payment fee is applied to pay the invoice. Failure to pay will result in the outstanding amount being referred to a debt collector.
- Huzi Developers will not be liable for any costs or charges associated with the recovery of the outstanding amount. All recovery charges (debt collectors, administration charges, legal fees) will be referred to the client for processing.
Queries and Late Payments:
- If you are late with a payment or have any queries regarding the invoice, please contact the Accounts Manager immediately upon receiving the invoice or reminder emails.
Communication:
- All communications/correspondences are generally done via emails. It is the client’s responsibility to keep us updated with their relevant email addresses.
Third-Party Payments:
- Payments related to domain name registration renewal, hosting, or any 3rd party products/services purchased on behalf of the client must be paid in full and are non-refundable.
- For renewal cancellations, we must be notified at least 30 days before the renewal date.
Website/Application Transfer:
- Huzi Developers generally builds and tests websites/applications on our own servers or hosted domains.
- The website/application will be transferred to the nominated 3rd party server upon full payment of all invoices and dues.
Dispute Resolution:
- In the event of a dispute, Huzi Developers reserves the right to charge the client in full for the work done and the resources spent in managing the dispute.
- Huzi Developers reserves the right to charge the client without honoring any previously offered discounts.
- Under no circumstances will Huzi Developers be liable for any damages arising from misrepresentation or misinformation.
Refusal of Service:
- Huzi Developers reserves the right to refuse service to any client if they are not aligned with our business operating principles and policies.
Service Guarantees:
- Huzi Developers provides its services as is, without any guarantees on security or other issues leading to loss of data, sale, or reputation.
- While efforts are made to protect systems and servers from various threats, Huzi Developers will not be held liable for any disruptions if such situations arise.
Relationship with Suppliers, Partners, and Sub-contractors:
- The relationship of Huzi Developers with its suppliers, partners, and sub-contractors is independent in nature.
- None of the parties have the power, right, or authority to interfere or bind the other, or assume any obligation or responsibility on behalf of the other.
Indemnification:
- The client will indemnify and hold Huzi Developers and its associated parties harmless from any breach of the terms and conditions.
- This includes unauthorized use of content, and the client agrees to indemnify and hold harmless Huzi Developers from any resulting loss, damages, costs, and expenses.
- The client also agrees to indemnify Huzi Developers from any claims brought by third parties arising out of the client’s use of information obtained from Huzi Developers.
Force Majeure:
- Huzi Developers will not be liable for any breach of the agreement caused by matters beyond its reasonable control.
- This includes but is not limited to acts of God, natural disasters, war, government actions, and industrial disputes.
Payment and Renewal:
- Hosting is an annual charge payable in advance for the whole year, except for clients under one of our Maintenance packages.
- It is the client’s responsibility to renew hosting before the expiry date to avoid loss of files, data, emails, backups, etc.
- Renewals must be paid at least seven working days prior to the expiry date, and Huzi Developers will not be responsible for issues relating to delayed payment.
Server Protection:
- Hosting is on shared and non-shared servers hosted via third-party providers.
- While efforts are made to protect systems and servers from various threats, Huzi Developers will not be held liable for any disruptions of services.
Client Responsibility:
- The client is solely responsible for the content stored on and served by the hosting service purchased.
- The client must maintain the security of all account passwords and ensure scripts under the hosting service are free from malicious content.
- In case of a malware attack, Huzi Developers reserves the right to delete files on the hosting service without prior notice.
Cancellation/Termination:
- Hosting cancellation requests must be sent in writing or by email one month prior to the expiry date.
- Once hosting has been renewed, it cannot be cancelled and must be paid for the full year.
- Failure to renew hosting before the expiry date may result in its disablement, and additional charges may apply for re-enabling it.
- Huzi Developers will not be responsible for any loss of data, files, emails, backups, restoration costs, etc., if hosting is not renewed in time.
- If hosting is cancelled/disabled, all files, emails, databases, and backups will be deleted from the server without notification to the client.
File Access:
- Once all invoices are paid, clients may request files subject to the conditions regarding Huzi Developers CMS and proprietary software.
Emails:
- Clients are responsible for downloading emails periodically and keeping email boxes within their quota limits.
- Use of email hosting for inappropriate content or spamming may result in immediate action, including deletion of files and data without prior notice.
Third-Party Providers:
- Huzi Developers offers packages in coordination with third-party providers, and changes to their rules and policies may affect our services and terms and conditions.
Server Protection (Repeated):
- Hosting is on shared and non-shared servers hosted via third-party providers.
- While efforts are made to protect systems and servers, Huzi Developers will not be liable for any disruptions of services.
Payment and Renewal:
- All domain registrations and renewals must be paid in advance to avoid service disruption and loss of domain.
- Huzi Developers will not be responsible if a domain expires due to non-payment or late payment.
- Payments must be made at least seven working days before the expiry date.
Client Responsibility:
- It is the client’s responsibility to renew their domain names with us and ensure timely payments.
- All invoices and dues must be paid in full before Huzi Developers releases the requested domain name.
Domain Control:
- Huzi Developers manages domains in a common pool account and cannot provide access to its domain control panel.
Third-Party Providers:
- Huzi Developers offers domain services in coordination with third-party providers, and changes to their rules and policies may affect our services and terms and conditions.
Content Ownership:
- All content on the website is the property of Huzi Developers unless otherwise specified.
- Huzi Developers reserves the right to change the content or policies without prior notice.
Project Copyrights:
- Project-related copyrights can be transferred to the client at an additional cost after full payment and upon signing the Certificate of Acceptance.
- Huzi Developers reserves the right to refuse ownership transfer under irregular circumstances.
Copyright Restrictions:
- Copyrights handed over to the client do not include the right to re-use the code for another website or re-sell the programming codes for any purpose.
- Ownership of the website may be transferred in the case of business restructuring or ownership change, but new owners are not allowed to re-sell or re-use the content.
- Huzi Developers CMS is proprietary and cannot be transferred to any external host.
Webmaster Change:
- In the event of a Webmaster change, site owners are not allowed to display credits to the new website unless significant changes are made to the functionality and appearance.
Trademark Protection:
- “Huzi Developers” and associated symbols and logos are trademarks of Huzi Developers
- Clients, partners, suppliers, subcontractors, and third parties are not allowed to use Huzi Developers trademarks without written permission.
Simplified Payment Structure for WordPress Site Development: One-Time Plugin Fees and Ongoing Maintenance Charges

This structure provides a clear, upfront understanding of your expenses, allowing you to budget more effectively and avoid the hassle of annual plugin renewal fees.
